These Terms of Service ("Terms") govern your access to and use of AcadifyOS, a product of Palefire Pvt Ltd ("Company", "we", "our", or "us"). Please read these Terms carefully before using our services.

Acceptance of Terms

By creating an account, accessing, or using AcadifyOS, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using AcadifyOS on behalf of an organisation, you represent that you have authority to bind the organisation to these Terms.

Description of Services

AcadifyOS provides a cloud-based academy management platform including CRM, student admissions, fee billing, attendance tracking, performance management, staff management, multi-venue control, and related features ("Services"). We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

Accounts & Registration

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to:

  • Provide accurate and complete registration information.
  • Keep your password secure and notify us immediately of any unauthorised access.
  • Not share your account credentials with unauthorised third parties.
  • Be responsible for all users you grant access to within your account.

Subscription & Payment

AcadifyOS is a subscription-based service. By subscribing, you agree to pay all fees for your selected plan. Fees are billed in advance on a monthly or annual basis depending on your chosen billing cycle.

  • All prices are in Indian Rupees (INR) and exclusive of applicable taxes.
  • Subscriptions automatically renew at the end of each billing period unless cancelled.
  • We reserve the right to change pricing with 30 days notice.
  • Failed payments may result in temporary suspension of your account.

Your Data & Content

You retain ownership of all data and content you upload or create within AcadifyOS ("Your Data"). By using our Services, you grant us a limited, non-exclusive licence to store, process, and transmit Your Data solely to provide the Services.

You are solely responsible for the accuracy, legality, and appropriateness of Your Data, including ensuring you have obtained proper consent for any personal information about students or staff.

Acceptable Use

You agree not to use AcadifyOS to:

  • Violate any applicable laws or regulations.
  • Upload malicious code, viruses, or other harmful software.
  • Attempt to gain unauthorised access to our systems or other users' accounts.
  • Use the platform for purposes other than legitimate academy management.
  • Reverse engineer, decompile, or disassemble any part of our software.
  • Resell or sublicense access to the platform without our written consent.

Intellectual Property

AcadifyOS and all associated software, designs, trademarks, and content are the intellectual property of Palefire Pvt Ltd. Nothing in these Terms grants you any ownership rights in our intellectual property. All rights not expressly granted are reserved.

Termination

Either party may terminate the subscription at any time. You may cancel your subscription through your account settings. We may suspend or terminate your account immediately if you breach these Terms or engage in fraudulent or illegal activity.

Upon termination, your access to the platform will cease and your data will be deleted after a 90-day grace period (during which you may export your data).

Limitation of Liability

To the maximum extent permitted by law, Palefire Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the amounts paid by you to us in the 12 months preceding the claim.

Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We make no warranties regarding the accuracy or completeness of any content on our platform.

Indemnification

You agree to indemnify, defend, and hold harmless Palefire Pvt Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Services, Your Data, or violation of these Terms.

Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with proceedings conducted in Kolkata, West Bengal.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days notice before material changes take effect via email or in-app notification. Your continued use after the effective date constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of India. Any legal proceedings shall be conducted exclusively in the courts of Kolkata, West Bengal, India.
